US-based private equity firm Advent International has entered into a definitive agreement to invest ₹3,150 crore (approximately US$328.5 million) in Yatharth Hospital & Trauma Care Services Ltd., acquiring a 24.9% stake in the listed Indian healthcare company. The transaction represents a significant primary-capital investment in India’s hospital sector and is subject to customary closing conditions.
The investment is expected to provide Yatharth Hospitals with additional capital to support its next phase of expansion as demand for specialised and multi-speciality healthcare services continues to grow across India.
Advent to Become a Significant Minority Investor
Under the agreement, Advent International will invest ₹3,150 crore of primary capital in Yatharth Hospitals. Following completion, the private equity firm is expected to hold a significant minority stake of 24.9%.
The company’s founding Tyagi family will remain its largest shareholder and continue to guide the company’s long-term direction alongside its management team.
The transaction is particularly notable because the capital is being invested directly into the company rather than through a purchase of existing shares, giving Yatharth Hospitals additional financial resources for growth.
Yatharth Hospitals’ Expanding Healthcare Network
Founded in 2008, Yatharth Hospitals has developed a network of multi-speciality hospitals primarily across North India.
According to the company, the group currently operates nine multi-speciality hospitals with around 2,800 beds, while its overall announced capacity stands at approximately 3,250 beds. Its network covers locations across the Delhi-NCR region as well as Jhansi-Orchha and other markets where the company is expanding its presence.
The company has expanded through a combination of organic development and acquisitions, with a focus on multi-speciality and super-speciality healthcare services.
Capital Could Support Further Expansion
The new investment comes as Yatharth Hospitals continues to expand its healthcare infrastructure and capacity.
Additional capital can help healthcare operators fund new hospitals, expand existing facilities, acquire medical equipment, develop specialised departments and strengthen clinical infrastructure. For Yatharth, the investment also provides access to Advent’s global healthcare investment experience.
Advent said it has made more than 55 healthcare investments across 17 countries over more than 35 years, giving the firm substantial experience in the healthcare sector.
Growing Interest in India’s Healthcare Sector
The transaction comes amid continued interest from global private equity investors in India’s healthcare market.
India’s growing population, increasing healthcare awareness, expansion of health insurance coverage and demand for specialised medical services have encouraged hospital operators to expand their capacity. Private investment has also become an important source of capital for developing large healthcare facilities and consolidating fragmented healthcare markets.
The Yatharth–Advent transaction therefore adds to a broader trend of institutional investors committing substantial capital to India’s healthcare infrastructure. Reuters reported that the deal is part of a wider wave of private equity investment in the country’s healthcare sector.
Focus on Clinical Capabilities and Operational Growth
Advent said its investment reflects confidence in Yatharth Hospitals‘ healthcare platform, clinical capabilities, operating model and management team.
Beyond financial capital, the partnership could bring strategic and operational expertise to the hospital group. The company said Advent’s healthcare experience and global insights could support its next phase of growth.
For Yatharth Hospitals, continued expansion will also require investment in doctors, nurses, medical technology, specialised departments and patient-care infrastructure as the company adds capacity.
What the Deal Means for India’s Hospital Industry
The investment highlights the increasing role of private capital in India’s healthcare infrastructure.
Large hospital networks require substantial long-term investment to establish new facilities and upgrade existing ones. Private equity participation can provide companies with capital for expansion while also bringing institutional expertise in areas such as operational efficiency, technology, governance and strategic growth.
The Yatharth transaction also demonstrates continued investor interest in healthcare providers that are expanding beyond individual hospitals and developing broader regional networks.
Transaction Remains Subject to Closing Conditions
Although the definitive agreement has been signed, the transaction has not yet been completed. Advent‘s investment remains subject to customary closing conditions and applicable approvals.
Once completed, Advent is expected to hold 24.9% of Yatharth Hospitals, while the Tyagi family will remain the company’s largest shareholder.
The deal marks another major development in India’s rapidly expanding private healthcare ecosystem and could provide Yatharth Hospitals with additional resources as it works toward increasing its hospital capacity and geographic presence.
